These Terms govern your business-to-business use of Nexus Audit. By accessing or using the Service, you agree to these Terms.

  1. Controller / Service Provider

    Panamic ICT operates Nexus Audit and is responsible for managing your use of the Service in accordance with these Terms.

  2. Scope & Eligibility

    • These Terms apply exclusively to business-to-business (B2B) use of Nexus Audit.
    • By accessing or using the Service, you confirm that you act on behalf of a business customer and agree to comply with these Terms.
    • Consumer (personal) use is strictly prohibited.
    • All users must be 18 years of age or older.
  3. Accounts & Responsibility

    • Customers are responsible for creating, managing, and securing user accounts and roles.
    • Customers are fully accountable for all activity under their accounts, including adherence to security policies and protection of login credentials.
    • Users must not share credentials or grant access to unauthorized persons.
  4. Acceptable Use

    You agree not to:

    • Upload or transmit unlawful content or engage in illegal activities.
    • Introduce malware, viruses, or disruptive software.
    • Attempt to bypass security controls, quotas, or rate limits.
    • Submit special-category personal data (e.g., health, racial, political) unless expressly agreed in writing.
    • Infringe intellectual property rights of Panamic ICT or third parties.
  5. Commercial Terms

    • Access to Nexus Audit is subscription-based per your order or invoice.
    • Fees exclude applicable taxes unless otherwise stated.
    • Payments are due as specified on your invoice.
    • Subscriptions auto-renew unless canceled before the end of the current term.
    • Refunds are only issued where required by law or explicitly stated.
  6. Intellectual Property & Customer Content

    • Customer Content: You retain ownership of all content submitted or generated within Nexus Audit.
    • Service IP: Panamic ICT retains all rights, title, and interest in the Service, including software, trademarks, and underlying technology.
    • You grant Panamic ICT a limited, non-exclusive license to host, process, and operate Customer Content solely to deliver and secure the Service.
  7. Privacy

    Personal data and Service Data are processed in accordance with our Privacy Policy. By using the Service, you consent to the collection, storage, and processing of Service Data under that policy.

  8. Disclaimers & Limitation of Liability

    The Service is provided “as is” and “as available” to the fullest extent permitted by law. Panamic ICT disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

    No liability for indirect, incidental, or consequential damages arising from use of the Service.

    Aggregate liability is limited to the total fees paid for the Service in the 12 months preceding the claim, except for: amounts due under the agreement; breaches of intellectual property or confidentiality; indemnities or obligations under law.

  9. Governing Law & Jurisdiction

    These Terms are governed by the laws of the jurisdiction in which Panamic ICT has its principal place of business, without regard to conflict-of-law rules. For disputes that cannot be resolved amicably, the parties agree to submit to the exclusive jurisdiction of the competent courts of that jurisdiction. This clause ensures international clients understand that governing law is tied to the provider’s location, while allowing cross-border enforcement in accordance with applicable legal frameworks.

  10. Miscellaneous

    • These Terms take precedence over any previous or informal agreements regarding the Service.
    • Modifications to these Terms will be communicated in advance; continued use of the Service constitutes acceptance.
    • Any failure to enforce a provision of these Terms does not constitute a waiver of rights.
    • If any provision is found unenforceable, the remaining provisions remain in full force.
